VNBA seeks members' opinions on draft Circular amending Circular 22

The Vietnam Banks Association (VNBA) has just sent an official dispatch to the General Directors of member organizations to seek opinions on the draft Circular guiding the procedures and documents for approving the list of expected personnel of commercial banks, non-bank credit institutions and foreign bank branches as prescribed in Circular No. 22/2018/TT-NHNN (Circular 22).

According to Official Dispatch No. 4867/NHNN-ATHT dated June 12, 2025 of the State Bank of Vietnam on soliciting opinions on the Draft Circular guiding the procedures and documents for approving the list of expected personnel of commercial banks, non-bank credit institutions and foreign bank branches.

The State Bank of Vietnam said that through reviewing Circular 22, it found difficulties and problems of some credit institutions in the implementation process. Therefore, the State Bank has studied and amended a number of regulations to make them more consistent and suitable to reality.

Accordingly, the draft Circular must inherit and maintain most of the regulations in Circular 22. At the same time, amend a number of contents arising from difficulties and problems of credit institutions and foreign bank branches related to the assessment of "professional ethics" of personnel expected to be elected and appointed. In particular, amend the content related to the criminal record and some contents in the Appendix issued with the Circular.

The State Bank has determined the name of the draft as Circular guiding the procedures and documents for approving the list of proposed personnel of commercial banks, non-bank credit institutions and foreign bank branches.

Accordingly, the scope of the draft Circular is to guide the procedures and documents for approving the list of proposed persons elected and appointed as members of the Board of Directors, members of the Board of Members, members of the Board of Supervisors, General Directors (Directors) for commercial banks, non-bank credit institutions and foreign bank branches.

Along with approving the list of proposed personnel of State-owned commercial banks; Approval of the proposed list of personnel for those appointed or introduced by the State capital owner to be members of the Board of Directors, members of the Supervisory Board, and General Directors of joint stock commercial banks with more than 50% of charter capital owned by the State shall be implemented in accordance with the documents on personnel work of the Governor of the State Bank.

In which, the subjects of application are commercial banks, non-bank credit institutions, and foreign bank branches.

Specifically, the draft Circular has 17 Articles divided into 04 chapters and 05 Appendices, including: Chapter 1, general provisions (Articles 1 - Article 6); Chapter 2, procedures and documents for approval of the proposed list of personnel of credit institutions and foreign bank branches (Articles 7 - Article 9); Chapter 3, responsibilities of relevant units (Articles 10 - Article 15); Chapter 4, implementation provisions (Articles 16 - Article 17).

In addition, there are 05 Appendices, including: Appendix No. 01, CV; Appendix No. 02, list of related persons; Appendix No. 03, notice; Appendix No. 04, document assessing the implementation of professional ethics standards for personnel under the management of credit institutions and foreign bank branches; Appendix No. 05, information of the State Bank of the Region.

VNBA requests member institutions to comment on this draft Circular.
